Corporate Law

Corporate Law

As part of our Corporate practice, we offer our expertise in various mandates, including establishment of local legal presence, mergers and acquisitions, joint ventures, purchase and sale of business, divestitures, corporate restructurings and corporate governance.


We advise on corporate governance and strategy issues for companies, banks, private equity investors and directors. This includes matters such as shareholder agreements, compliance policies, management disputes, conflict of interest situations, governance policies. We also conduct periodic reviews to assist boards and officers in carrying out their duties and response to audits or internal investigations, often in response to third party or government concerns. 
Examples of our work include:

  • Advising foreign clients on local aspects of implimentation of various corporate governance mechanisms (board representation, unanimous shareholder agreements, call/put options)


We advise clients on mergers and acquisitions, share and asset purchases, disposals, joint ventures, restructurings, private equity investments, with a particular focus on cross-border transactions. In the structuring, negotiation and execution of M&A transactions, we also benefit from the expert knowledge of other practice groups, including antitrust, tax, finance and corporate governance. Our teams also perform extensive due diligence investigations of companies and develop effective strategies to mitigate risks.

  •  Representing a multinational company in the acquisition of a controlling stake in a local beverages plant
  •  Advising a foreign private equity investor in the purchase of shares in a financial institution
  •  Representing controlling shareholders of a production company in structuring, negotiating and executing sale of their interest in the company
  •  Representing an international financial institution in the purchase of shares in a local bank


We advise on a wide range of contentious and non-contentious employment matters, including negotiating and drafting employment documentation, redundancies and restructurings, employment disputes and dismissals, employment aspects of all commercial transactions including acquisitions, disposals, restructurings and corporate immigration matters.


As part of our restructuring and insolvency practice we represent corporations, banks, private investors, creditors’ committees and other financial institutions on restructurings and bankruptcy cases in transactional and litigation matters.
